Introduction

These Terms of Use (“Terms”) govern your access to and use of the website, software platform, veterinary nutrition formulation tools, artificial intelligence-assisted features, subscription services, reports, outputs, and related services provided by White Stone Veterinary Consulting LLC, operating under the brand name PetFoodis.AI (“PetFoodis.AI,” “we,” “us,” or “our”) (collectively, the “Service”).

By creating an account, accessing or using the Service, purchasing a subscription, or accepting these Terms electronically, you agree to be bound by these Terms and acknowledge our Privacy Policy.

If you access or use the Service on behalf of a veterinary clinic, veterinary hospital, company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “Customer” refers to that entity.

If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Intended Users

The Service is primarily intended for:

  • Licensed veterinarians

  • Veterinary clinics and veterinary hospitals

  • Authorized veterinary staff

  • Veterinary organizations; and

  • Other professional users authorized by PetFoodis.AI.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

Certain features may be limited to veterinarians, veterinary clinics, or other verified professional users. We may request professional, business, or organizational information reasonably necessary to confirm eligibility for applicable features.

The Service is not intended to be used directly by pet owners as a substitute for consultation with a veterinarian, unless PetFoodis.AI expressly makes a specific feature available for that purpose.

2. Definitions

For purposes of these Terms:

“Authorized User” means an individual whom a Customer authorizes to access or use the Service under the Customer’s account, including veterinarians, veterinary staff, clinic administrators, or other personnel permitted by the Customer.

“Clinic Account” means an organizational account associated with a veterinary clinic, veterinary hospital, or veterinary organization through which multiple Authorized Users may access shared information and Service features.

“Customer” means the person or entity that creates an account, purchases a subscription, accepts these Terms, or uses the Service.

“Customer Data” means any information, files, records, text, images, documents, prompts, communications, and other content submitted to, stored in, transmitted through, or generated in connection with a Customer’s use of the Service. Customer Data may include pet owner information, veterinary patient information, medical records, laboratory results, dietary histories, consultation notes, formulation inputs, generated Outputs, chatbot history, and uploaded files.

“Free Plan” means any free, trial, beta, evaluation, demonstration, or other non-commercial plan identified by PetFoodis.AI as not permitting paid or commercial use of Outputs.

“Output” means any recipe, homemade diet formulation, nutritional calculation, analysis, report, summary, recommendation, educational comment, chatbot response, draft communication, or other result generated, displayed, stored, or provided through the Service.

“Paid Commercial Plan” means a paid Subscription Plan that expressly permits Customer to use Outputs in connection with compensated professional veterinary services.

“Subscription Plan” means the applicable paid or unpaid plan under which Customer is permitted to access and use the Service.

3. Account Registration and Account Security

To access certain features of the Service, you must create an account and provide accurate, current, and complete information.

Customer agrees to:

  • Promptly notify PetFoodis.AI of any suspected unauthorized access, credential compromise, or security incident involving Customer’s account; and

  • Accept responsibility for activity occurring under Customer’s account, except to the extent caused solely by PetFoodis.AI’s breach of these Terms or violation of applicable law.

  • Customer may not share account credentials with unauthorized persons or permit unauthorized access to the Service.

  • We may suspend, restrict, or terminate an account where we reasonably believe that:

  • Provide accurate registration and account information

  • Maintain and promptly update account information as needed

  • Protect account credentials and maintain their confidentiality

  • Restrict access to the Service to properly Authorized Users

  • Account information is false, inaccurate, or incomplete

  • Access is unauthorized

  • Customer or an Authorized User has violated these Terms

  • Use of the Service creates security, legal, operational, or reputational risk; or

  • Suspension or restriction is necessary to comply with applicable law.

3.1 One Individual Account per Veterinarian Policy

Unless otherwise expressly permitted by PetFoodis.AI, each individual veterinarian may create and maintain only one individual user account. An individual veterinarian account is personal to the registered veterinarian and may not be shared with, transferred to, or used by another veterinarian, staff member, clinic, or third party. If multiple individuals within the same veterinary clinic or organization require access to the Service, each individual must use their own Authorized User account under an applicable Clinic Account or other plan that permits multiple users.

4. Clinic Accounts and Authorized User Access

The Service may offer Clinic Accounts that allow multiple Authorized Users associated with the same veterinary clinic, veterinary hospital, or veterinary organization to access and use shared Service functionality.

For a Clinic Account:

  • Customer is responsible for removing or modifying access when an Authorized User no longer requires access or is no longer affiliated with the clinic or organization; and

  • Customer is responsible for ensuring that internal sharing and access comply with applicable law, professional obligations, confidentiality duties, clinic policies, and any required authorizations.

PetFoodis.AI is not responsible for unauthorized access resulting from Customer’s failure to properly administer its Authorized Users, permissions, or account credentials, except to the extent caused solely by PetFoodis.AI’s breach of these Terms or applicable law.

  • All veterinary patient profiles associated with the Clinic Account may be accessible to Authorized Users associated with that same Clinic Account

  • Authorized Users may be able to view, create, edit, use, download, or delete patient profiles, uploaded records, case materials, formulation inputs, generated Outputs, chatbot records, and related workflow materials associated with the Clinic Account, subject to available permissions and Service functionality

  • Customer is responsible for determining which individuals may access the Clinic Account

  • Customer is responsible for ensuring that each Authorized User’s access is appropriate and authorized

5. Veterinary Professional Responsibilities

The Service is designed to support veterinary nutrition-related workflows. It is not a substitute for professional veterinary judgment, appropriate patient evaluation, clinical monitoring, or compliance with applicable veterinary practice requirements.

Veterinarian users remain solely responsible for:

  • Complying with applicable licensing, ethical, professional, confidentiality, privacy, and recordkeeping obligations.

  • PetFoodis.AI does not independently diagnose, examine, treat, prescribe for, monitor, or establish a veterinarian-client-patient relationship with any animal or pet owner.

  • PetFoodis.AI does not practice veterinary medicine through the Service.

  • The Service is not designed for veterinary emergencies and should not be relied upon for urgent or emergency patient management.

  • Establishing and maintaining any legally required veterinarian-client-patient relationship

  • Obtaining sufficient and accurate clinical information about each veterinary patient

  • Conducting appropriate clinical evaluation

  • Making all diagnosis, treatment, prescription, nutritional management, and patient monitoring decisions

  • Reviewing all Outputs before using them clinically or sharing them with a pet owner

  • Determining whether an Output is appropriate for a specific patient

  • Communicating appropriately with pet owners

  • Obtaining any required informed consent, authorization, or approval

  • Monitoring the patient’s response to any dietary or nutritional recommendation

  • Making modifications where clinically appropriate; and

6. Customer Data and Authority to Submit Information

Customers and Authorized Users may submit Customer Data to the Service, including:

  • Customer will not submit information that Customer is prohibited from disclosing to PetFoodis.AI or its service providers; and

  • Customer Data is sufficiently accurate and complete for Customer’s intended use of the Service.

  • Customer grants PetFoodis.AI a limited, non-exclusive, worldwide license to host, store, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to:

  • PetFoodis.AI does not sell Customer Data, pet owner information, veterinary patient information, or uploaded veterinary medical records.

  • PetFoodis.AI does not use identifiable Customer Data or uploaded veterinary medical records for targeted advertising or cross-context behavioral advertising.

PetFoodis.AI does not authorize identifiable Customer Data submitted through the Service to be used to train or fine-tune general-purpose artificial intelligence or machine learning models unless the applicable Customer separately and expressly authorizes such use.

  • Pet owner information

  • Veterinary patient information

  • Medical records

  • Laboratory reports

  • Images and uploaded documents

  • Medication and supplement information

  • Current or previous dietary information

  • Consultation notes

  • Formulation requests

  • Chatbot prompts; and

  • Other case-related information.

  • Customer retains ownership of Customer Data.

  • By submitting Customer Data to the Service, Customer represents and warrants that:

  • Customer has the right and authority to submit and use the Customer Data through the Service

  • Customer’s submission and use of Customer Data complies with applicable law, professional obligations, confidentiality duties, and contractual responsibilities

  • Customer has obtained any consent or authorization required to submit pet owner or veterinary patient information to the Service

  • Provide and operate the Service

  • Create and maintain patient profiles

  • Generate, store, retrieve, and display Outputs requested by Customer

  • Provide requested AI-assisted functionality

  • Enable Clinic Account access and sharing as described in these Terms

  • Maintain account and case history

  • Provide technical support

  • Troubleshoot errors

  • Monitor, secure, and protect the Service

  • Comply with applicable law

  • Enforce these Terms and other applicable agreements; and

  • Improve the Service using de-identified, anonymized, or aggregated information where feasible.

7. Veterinary Medical Records, Data Export, and Deletion

The Service may allow Customers to upload, store, review, use, export, or delete veterinary patient records, pet owner information, case materials, formulation inputs, generated Outputs, and related information.

The Service is designed as a veterinary nutrition workflow and formulation support tool. It is not intended to serve as Customer’s sole or official veterinary medical record retention system unless expressly agreed in a separate written agreement signed by PetFoodis.AI.

Customer is solely responsible for:

Ensuring that deletion, cancellation, suspension, or termination of the Service does not cause Customer to violate any legal, professional, licensing, or recordkeeping obligation.

  • Maintaining official veterinary medical records as required by applicable law and professional standards

  • Keeping independent copies of records, recipes, reports, communications, and other documentation required for clinical care, legal compliance, professional obligations, billing, or clinic operations

  • Responding to pet owner requests for records controlled by Customer

  • Determining applicable record retention periods

  • Exporting required Customer Data before deleting a case or terminating an account; and

7.1 Data Maintained During an Active Account

While Customer’s account remains active, Customer Data, including patient profiles, uploaded records, formulation history, generated Outputs, and chatbot history, may remain available through the Service until deleted by Customer or an Authorized User with appropriate permissions.

7.2 Individual Case Deletion

Where the Service provides deletion functionality, Customer or an appropriately Authorized User may delete individual patient profiles, case records, uploaded files, formulation histories, generated Outputs, or chatbot histories.

Following a valid deletion request or user-initiated deletion:

Backup copies may remain in protected backup systems for up to 90 days before being deleted or overwritten through ordinary backup cycles; and

Deleted identifiable Customer Data will not be reused for new product development, AI model training, or unrelated analytics after the deletion request is processed, except where retention is permitted or required by law.

  • The deleted information will no longer be available through the active user interface once deletion is processed

  • The applicable information will be deleted from active systems within a reasonable period, generally no later than 30 days after deletion is initiated

7.3 Account Termination and Export Period

Following termination of Customer’s account or subscription:

After the 30-day export period, PetFoodis.AI may delete veterinary patient information, pet owner information, uploaded records, formulation inputs, generated Outputs, case history, and chatbot records from active systems; and

Deleted Customer Data may remain in protected backup systems for up to 90 days before being deleted or overwritten through ordinary backup cycles.

  • Customer will have up to 30 days after termination to export available Customer Data

  • During this export period, access may be limited to retrieval or export functionality depending on account status and available Service functionality

7.4 Information Retained After Deletion or Termination

PetFoodis.AI may retain limited information where reasonably necessary to:

PetFoodis.AI is not responsible for Customer’s failure to export, preserve, or independently maintain records required for veterinary practice, patient care, professional compliance, billing, or legal purposes.

  • Comply with applicable law

  • Maintain billing, invoice, payment, tax, refund, or transaction records

  • Document privacy rights requests

  • Investigate security incidents, misuse, unauthorized access, or fraud

  • Maintain information subject to legal hold

  • Enforce these Terms or another applicable agreement; or

  • Establish, exercise, or defend legal claims.

8. Automated Formulation Features

The Service may generate homemade diet recipes, nutritional calculations, ingredient suggestions, nutritional analyses, patient-specific reports, and related Outputs using proprietary software logic, calculation methods, nutritional databases, ingredient data, and formulation rules.

Customer acknowledges and agrees that:

  • Veterinarian users must independently review and approve Outputs before using them clinically or providing them to pet owners.

  • Customer may not represent that PetFoodis.AI has independently approved, prescribed, endorsed, or guaranteed any Output for a particular veterinary patient.

  • Outputs depend on the accuracy, completeness, and relevance of Customer Data submitted to the Service

  • Nutrient composition, ingredient preparation, product variation, supplements, feeding compliance, medical status, and other factors may affect real-world results

  • Outputs may require professional adjustment, interpretation, or further clinical consideration

  • No Output is guaranteed to be appropriate for every veterinary patient

  • No Output guarantees any specific patient outcome; and

9. AI-Assisted Features Provided Through Google

Certain chatbot responses, summaries, explanations, educational comments, workflow assistance features, draft communications, or similar functionality may use artificial intelligence services provided by Google.

When Customer or an Authorized User requests an AI-assisted feature, information reasonably necessary to provide the requested feature may be transmitted to and processed by Google. Such information may include:

  • Generated content or associated context reasonably necessary to provide the requested functionality.

  • PetFoodis.AI uses Google AI services to provide requested AI-assisted functionality, operate and troubleshoot relevant features, maintain security, and support Service quality.

  • Customer acknowledges and agrees that AI-assisted Outputs may be incomplete, inaccurate, outdated, misleading, or inappropriate for a particular veterinary patient.

  • Customer further agrees that:

  • Customer is solely responsible for verifying the accuracy and appropriateness of any AI-assisted Output; and

  • Customer will not rely on an AI-assisted Output as the sole basis for diagnosis, treatment, medication, emergency guidance, prescription, or another clinical decision.

PetFoodis.AI does not authorize identifiable Customer Data submitted through the Service to be used to train or fine-tune general-purpose artificial intelligence or machine learning models unless the applicable Customer separately and expressly authorizes such use.

  • User questions, prompts, or instructions

  • Relevant veterinary patient information

  • Relevant pet owner information where included in the request or case context

  • Relevant formulation inputs or Outputs

  • Relevant uploaded or entered case information; and

  • AI-assisted Outputs are supportive tools only

  • AI-assisted Outputs do not replace veterinary judgment

  • AI-assisted Outputs must be reviewed by a qualified veterinarian before clinical reliance or communication to a pet owner where clinically relevant

10. Permitted Use of Outputs and Restrictions

Subject to these Terms and the applicable Subscription Plan, Customer may use Outputs for its internal veterinary practice activities and may provide permitted Outputs to pet owners in connection with veterinary services.

10.1 Paid Plans Permitting Commercial Use

For Paid Commercial Plans that expressly permit commercial use, Customer may charge pet owners for professional services that incorporate or include Outputs, including:

  • Customer may not represent that PetFoodis.AI has independently approved an Output for a particular patient; and

  • Customer must comply with all applicable professional, legal, ethical, consent, disclosure, and recordkeeping obligations when providing Outputs to pet owners.

  • Nutrition consultations

  • Customized diet recommendations

  • Homemade diet recipe services

  • Nutritional follow-up services; and

  • Related veterinary nutrition services.

  • Customer acknowledges and agrees that:

  • Customer remains solely responsible for reviewing each Output before clinical use or delivery to a pet owner

  • Customer is solely responsible for determining whether an Output is appropriate for a particular veterinary patient

  • Any fee charged to a pet owner is for Customer’s professional veterinary services, clinical review, and professional delivery of the applicable service

10.2 Free Plan Restrictions

Outputs generated under a Free Plan may be used for:

  • Provision to pet owners without charge, provided that Customer appropriately reviews the Output before providing it to a pet owner.

  • Unless expressly authorized in writing by PetFoodis.AI or permitted in the applicable Subscription Plan description, Customer may not:

  • Remove, conceal, alter, or obscure any watermark, restriction notice, disclaimer, or attribution included in an Output generated under a Free Plan.

For clarity, Customer may provide an Output generated under a Free Plan to a pet owner without charge, including for demonstration, educational, or complimentary consultation purposes, as long as Customer does not receive payment or other commercial compensation in connection with that Output or the related service.

  • Customer’s internal evaluation or review

  • Educational or demonstration purposes

  • Complimentary veterinary nutrition support; and

  • Sell, resell, or separately charge a fee for an Output generated under a Free Plan

  • Charge a pet owner for a consultation, recipe service, nutrition service, or other professional service that includes, relies on, or delivers an Output generated under a Free Plan

  • Use an Output generated under a Free Plan to generate commercial revenue, whether directly or indirectly

  • Commercially distribute, license, sublicense, or monetize an Output generated under a Free Plan; or

10.3 General Restrictions Applicable to All Plans

Regardless of the applicable Subscription Plan, Customer may not:

  • Remove, alter, or obscure any disclaimer, attribution, watermark, or restriction notice in violation of the applicable Subscription Plan; or

  • Use Outputs without appropriate professional review where veterinary judgment is required.

  • Resell, sublicense, rent, lease, distribute, or commercially provide access to the Service itself

  • Offer the Service as Customer’s own software platform, formulation engine, chatbot service, or technology product

  • Use the Service or any Output in a manner that violates applicable law, professional standards, licensing requirements, privacy obligations, confidentiality obligations, or the rights of another person

  • Represent that PetFoodis.AI has independently examined, diagnosed, treated, prescribed for, or clinically approved an Output for a particular veterinary patient

  • Represent that an Output guarantees any particular clinical result or patient outcome

10.4 Plan-Specific Terms

Certain Subscription Plans may include additional permissions or restrictions concerning:

If there is a conflict between this Section and a written Subscription Plan description or order form expressly agreed to by PetFoodis.AI and Customer, the applicable Subscription Plan description or order form will control solely with respect to the conflicting plan-specific permission or restriction.

  • Commercial use

  • Branding or white-labeling

  • Watermarks

  • Downloads or exports

  • Number of Authorized Users

  • Clinic Account access

  • Storage capacity

  • Use of Outputs with pet owners; or

  • Other plan-specific functionality.

11. Supplement Product Links and Affiliate Disclosure

Certain Outputs, including formulation recipes, nutrition reports, or related materials, may include references or hyperlinks to supplement products or other products that may be relevant to the applicable formulation.

Some of these hyperlinks may be affiliate links. If a Customer, pet owner, or other recipient clicks an affiliate link and purchases a product through that link, White Stone Veterinary Consulting LLC, operating as PetFoodis.AI, may receive a commission or other financial compensation from the applicable seller, manufacturer, affiliate network, or other commercial partner.

Customer acknowledges and agrees that:

  • PetFoodis.AI is not the seller, manufacturer, distributor, or dispensing provider of third-party supplement products unless expressly stated otherwise; and

  • Any purchase made through a third-party hyperlink is subject to the applicable third party’s terms, policies, product information, and purchasing conditions.

  • Where an Output includes an affiliate link, PetFoodis.AI may display a notice indicating that the link is an affiliate link and that PetFoodis.AI may earn a commission from qualifying purchases.

Customer may not remove, conceal, alter, or obscure any affiliate disclosure, hyperlink notice, product disclaimer, watermark, or related disclosure included in an Output before providing that Output to a pet owner or other recipient.

Except as expressly stated in an applicable Output or written agreement, PetFoodis.AI does not warrant, endorse, or assume responsibility for any third-party supplement product, seller, manufacturer, affiliate partner, purchasing transaction, or product-related claim.

  • The inclusion of a supplement or product in an Output is intended to support the applicable formulation workflow and does not constitute a guarantee regarding the product’s quality, availability, price, effectiveness, safety, suitability, or performance for any particular veterinary patient

  • Any affiliate relationship or potential commission does not replace Customer’s obligation to exercise independent veterinary judgment when reviewing a formulation or recommending a supplement or product

  • Customer remains solely responsible for determining whether a supplement, dosage, product, source, or purchasing option is clinically appropriate for a particular veterinary patient

  • Product availability, pricing, formulation, labeling, ingredients, manufacturer information, shipping terms, and seller terms may change without notice

12. Acceptable Use

Customer and Authorized Users may not:

  • Use the Service to provide veterinary services in violation of applicable licensing, telemedicine, VCPR, professional, or ethical requirements; or

  • Use the Service in a manner that exposes PetFoodis.AI, Customers, users, pet owners, veterinary patients, or others to unreasonable legal, security, or safety risk.

  • We may investigate suspected violations and may suspend or terminate access where reasonably necessary to protect the Service, our users, or others.

  • Use the Service for unlawful, fraudulent, deceptive, abusive, harmful, or misleading purposes

  • Submit Customer Data without appropriate authority, consent, or authorization

  • Access or attempt to access another customer’s, clinic’s, patient’s, or user’s data without authorization

  • Share account credentials with unauthorized individuals

  • Attempt to gain unauthorized access to the Service, related systems, networks, databases, or infrastructure

  • Interfere with, disrupt, damage, or compromise the security, availability, or integrity of the Service

  • Introduce malware, viruses, malicious code, or harmful content

  • Circumvent access controls, usage limits, subscription restrictions, or security protections

  • Scrape, harvest, extract, copy, or systematically collect information from the Service except as expressly permitted

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, proprietary logic, algorithms, models, databases, or underlying technology of the Service, except where such restriction is prohibited by applicable law

  • Use the Service to develop or train a competing product, database, model, formulation tool, or commercial service without our written authorization

  • Infringe or violate intellectual property, privacy, confidentiality, publicity, contractual, or other rights of another person

13. Subscriptions, Fees, and Payment

Certain features of the Service may require a paid Subscription Plan.

By purchasing a paid Subscription Plan, Customer agrees to pay all applicable fees, charges, and taxes described at checkout, within the Service, in an applicable order form, or in another applicable written agreement.

Unless otherwise stated in writing:

  • Fees are non-refundable except where required by applicable law or expressly stated in writing by PetFoodis.AI; and

  • Failure to pay applicable fees may result in suspension, limitation, or termination of access to paid features.

  • We use Stripe as our payment processing provider. Payment information may be submitted directly to and processed by Stripe in accordance with Stripe’s applicable terms and privacy practices.

  • PetFoodis.AI does not store full payment card numbers on its own servers unless expressly stated otherwise.

  • Subscription fees are billed in advance

  • Subscription fees are charged according to the billing period selected by Customer

  • Paid subscriptions may automatically renew for successive billing periods unless canceled before the applicable renewal date

  • Customer authorizes PetFoodis.AI and its payment processor to charge the payment method provided by Customer for applicable fees, taxes, renewals, and authorized charges

14. Cancellation, Suspension, and Termination

Customer may cancel a paid subscription through available account functionality, if provided, or by contacting us at petfoodisai@gmail.com.

Unless otherwise stated in an applicable order form or required by law:

  • Customer may continue to access paid features through the end of the already-paid subscription period unless access is suspended or terminated for cause.

  • We may suspend, limit, or terminate Customer’s access to the Service if:

  • Following termination, access to Customer Data will be handled in accordance with Section 7 and our Privacy Policy, including the applicable 30-day export period and backup deletion process.

  • Cancellation prevents future renewal charges after the applicable cancellation takes effect

  • Cancellation does not entitle Customer to a refund of amounts already paid; and

  • Customer or an Authorized User violates these Terms

  • Payment is overdue or cannot be processed

  • Customer’s use of the Service presents security, legal, compliance, safety, operational, or reputational risk

  • We reasonably suspect fraud, unauthorized use, misuse, or unlawful activity

  • We are required to do so by law or legal process; or

  • We discontinue the Service or a relevant feature.

15. Intellectual Property

The Service, including its software, website, user interface, workflow, calculation logic, formulation methods, algorithms, databases, designs, text, graphics, branding, trademarks, documentation, and underlying technology, is owned by or licensed to White Stone Veterinary Consulting LLC and is protected by applicable intellectual property laws.

  • Except for the limited rights expressly granted under these Terms, no rights, title, or interest in or to the Service or our intellectual property are transferred to Customer or any Authorized User.

  • Customer retains ownership of Customer Data.

  • Subject to these Terms and the applicable Subscription Plan, Customer may use Outputs in accordance with Section 10.

  • Customer may not use the PetFoodis.AI name, logo, trademarks, branding, or other proprietary materials except as expressly authorized by PetFoodis.AI or as permitted by applicable law.

16. Feedback

If Customer or an Authorized User provides suggestions, corrections, comments, ideas, requests, recommendations, or other feedback regarding the Service (“Feedback”), Customer grants PetFoodis.AI a worldwide, perpetual, irrevocable, royalty-free, non-exclusive right to use, reproduce, modify, incorporate, and otherwise use the Feedback to develop, improve, maintain, operate, and promote the Service.

Feedback does not include identifiable Customer Data, pet owner information, veterinary patient records, or uploaded medical records unless Customer separately and expressly authorizes such use.

17. Confidentiality

Customer Data containing pet owner information, veterinary patient information, medical records, consultation information, business information, or other non-public case materials will be treated as Customer Confidential Information.

PetFoodis.AI will use Customer Confidential Information only as permitted under:

Where legally permitted and reasonably practicable, a party required to disclose Confidential Information by legal process may provide notice to the other party before disclosure.

  • Customer’s instructions

  • An applicable order form or written agreement; or

  • Becomes publicly available without breach of an obligation

  • Was lawfully known to the receiving party before disclosure

  • Is lawfully received from a third party without confidentiality restriction

  • Is independently developed without use of the disclosing party’s Confidential Information; or

  • Must be disclosed pursuant to applicable law, regulation, court order, or valid legal process.

Customer acknowledges that use of the Service may involve processing of information through third-party providers, including:

Customer is responsible for reviewing the Privacy Policy before submitting Customer Data to the Service.

  • Google for certain AI-assisted features, as described in these Terms and our Privacy Policy.

PETFOODIS.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, CLINICAL SUITABILITY, OR FITNESS FOR ANY PARTICULAR VETERINARY PATIENT.

  • WITHOUT LIMITING THE FOREGOING, PETFOODIS.AI DOES NOT WARRANT THAT:

  • THE SERVICE WILL SATISFY CUSTOMER’S PROFESSIONAL, LICENSING, CONSENT, PRIVACY, OR RECORDKEEPING OBLIGATIONS; OR

  • CUSTOMER DATA WILL NEVER BE LOST, CORRUPTED, OR UNAVAILABLE.

  • THE SERVICE DOES NOT PROVIDE EMERGENCY VETERINARY CARE AND MUST NOT BE USED AS A SUBSTITUTE FOR URGENT CLINICAL EVALUATION OR EMERGENCY TREATMENT.

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, AVAILABLE, OR ERROR-FREE

  • ANY OUTPUT WILL BE COMPLETE, ACCURATE, CURRENT, OR APPROPRIATE FOR A PARTICULAR PATIENT

  • ANY FORMULATION OR RECOMMENDATION WILL PRODUCE A PARTICULAR NUTRITIONAL OR CLINICAL OUTCOME

  • ANY AI-ASSISTED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR CLINICAL RELIANCE

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHITE STONE VETERINARY CONSULTING LLC, PETFOODIS.AI, AND THEIR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, BUSINESS OPPORTUNITY, CLINICAL OUTCOME, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE, ANY OUTPUT, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WHITE STONE VETERINARY CONSULTING LLC’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE, ANY OUTPUT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY CUSTOMER TO PETFOODIS.AI FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

  • ONE HUNDRED UNITED STATES DOLLARS (US $100), IF CUSTOMER HAS NOT PAID FOR THE SERVICE.

  • Some jurisdictions do not allow certain disclaimers or limitations of liability. In such jurisdictions, the foregoing limitations will apply only to the maximum extent permitted by applicable law.

23. Indemnification

To the maximum extent permitted by applicable law, Customer agrees to defend, indemnify, and hold harmless White Stone Veterinary Consulting LLC, PetFoodis.AI, and their officers, directors, members, employees, contractors, affiliates, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

This indemnification obligation will not apply to the extent a claim results solely from PetFoodis.AI’s violation of applicable law, gross negligence, willful misconduct, or material breach of these Terms.

  • Customer Data submitted by Customer or an Authorized User

  • Customer’s lack of authority, consent, or authorization to submit or use Customer Data

  • Customer’s or an Authorized User’s use or misuse of the Service

  • Customer’s clinical use of an Output

  • Customer’s communication, delivery, sale, or provision of an Output to a pet owner or another third party

  • Customer’s failure to independently review an Output

  • Customer’s failure to maintain legally or professionally required veterinary medical records

  • Customer’s violation of privacy, confidentiality, consent, licensing, professional, or recordkeeping obligations

  • Customer’s violation of these Terms; or

  • Customer’s violation of applicable law or the rights of another person.

24. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any Output will be governed by the laws of the State of California, without regard to its conflict of law principles.

Except where applicable law requires otherwise, any legal action or proceeding arising out of or relating to these Terms, the Service, or any Output must be brought exclusively in the state or federal courts located in Orange County, California.

Customer and White Stone Veterinary Consulting LLC consent to the personal jurisdiction and venue of those courts.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, Subscription Plans, legal requirements, operational practices, or business needs.

When we update these Terms, we will revise the “Last Updated” date above.

If we make material changes, we may provide additional notice through the Service, by email, through a website notice, or by another reasonable method.

Continued access to or use of the Service after updated Terms become effective constitutes Customer’s acceptance of the updated Terms.

26. Electronic Communications

By creating an account or using the Service, Customer agrees that we may communicate electronically regarding:

  • Subscription and billing matters

Customer may not assign or transfer these Terms or Customer’s rights or obligations under these Terms without our prior written consent, except in connection with a merger, acquisition, corporate restructuring, or sale of substantially all relevant assets, provided that the successor agrees to be bound by these Terms.

We may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate restructuring, sale of assets, or similar transaction.

28. Severability and Waiver

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

29. Entire Agreement

These Terms, together with our Privacy Policy, any applicable Subscription Plan description, order form, and any other written agreement expressly incorporated by reference, constitute the entire agreement between Customer and White Stone Veterinary Consulting LLC concerning the Service.

In the event of a conflict:

  • An applicable written order form or expressly agreed Subscription Plan description will control with respect to conflicting plan-specific commercial terms; and

  • These Terms will control in all other respects unless otherwise expressly agreed in writing by PetFoodis.AI.

  • The Privacy Policy will control with respect to privacy and data-handling matters
